\u00a71. General, scope<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

  1. 1. Our terms and conditions of sale apply exclusively; We do not accept any terms and conditions of the customer that conflict with or deviate from our terms and conditions of sale, unless we have expressly agreed to their validity in writing. Our terms and conditions of sale shall also apply if we carry out the delivery to the customer without reservation in the knowledge of conflicting or deviating terms and conditions of the customer. <\/li>
  2. 2. Our terms and conditions of sale also apply to all future transactions with the customer, unless deviating agreements have been made specifically or the validity of new terms and conditions of sale has been agreed.<\/li>
  3. 3. All agreements made between us and the customer for the purpose of executing this contract are set out in writing in this contract.<\/li>

    \u00a7 2. Offer, offer documents and order<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

    1. 1. Our offers are subject to change. Illustrations, dimensions, drawings, weights and performance specifications in offers are approximate unless they have been expressly confirmed in writing. <\/li>
    2. 2. If the order is to be qualified as an offer according to \u00a7 145 BGB, we can accept it within 2 weeks.<\/li>
    3. 3. We reserve title and copyright to illustrations, drawings, calculations and other documents. This also applies to such written documents, which are referred to as \u201cconfidential\u201d. Before passing it on to third parties, the customer requires our express written consent. At our request, these documents must be returned if an order is not placed. <\/li>
    4. 4. Orders for deliveries and services require our written confirmation to be accepted. Deliveries are equivalent to confirmation. A challenge on our part due to error shall also be considered timely if it is not made immediately, but within a reasonable period of time since the discovery of the reason for the challenge. <\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

      \u00a73. Prices, terms of payment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

      1. 1. Unless otherwise stated in the order confirmation, our prices apply \u201cex works\u201d, excluding packaging; This will be invoiced separately and will not be taken back.<\/li>
      2. 2. We reserve the right to increase our prices accordingly if unforeseeable cost increases occur after conclusion of the contract, in particular due to material price increases. These will be proven separately to the customer upon request. <\/li>
      3. 3. VAT is not included in our prices; it is shown separately in the invoice in the statutory amount on the day of invoicing.<\/li>
      4. 4. The deduction of discount requires special written agreement.<\/li>
      5. 5. Unless otherwise stated in the order confirmation, the purchase price is due for payment net (without deduction) within 14 days of the invoice date. The legal rules concerning the consequences of late payment apply. <\/li>
      6. 6. The customer shall only be entitled to offsetting rights if his counterclaims have been legally established, are undisputed or recognised by us. In addition, he is entitled to exercise a right of retention insofar as his counterclaim is based on the same contractual relationship. <\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

        \u00a7 4. Delivery, delivery time<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

        1. 1. Deliveries are made from Marburg. On request, we take over the shipment of the goods to the place named by the customer at his expense. <\/li>
        2. 2. The risk passes to the customer upon leaving our warehouse, in particular as soon as the goods are handed over to the carrier or the person or institution commissioned with the shipment, even if the delivery is freight-free or by us. At the request of the customer, all goods will be insured on his account from the transfer of risk. <\/li>
        3. 3. The delivery time is only approximate and requires clarification of all technical questions. Otherwise, it is only binding if it has been expressly designated as binding by us in writing. In the case of third-party manufacturers, the supplier’s delivery date is decisive, whereby this information alone does not justify any obligation on our part to make a claim. <\/li>
        4. 4. Compliance with our delivery obligation further presupposes the timely and proper fulfilment of the customer’s obligation. The objection of the unfulfilled contract remains reserved. <\/li>
        5. 5. If the customer is in default of acceptance or culpably violates other obligations to cooperate, we are entitled to demand compensation for the damage incurred by us in this respect, including any additional expenses. Further claims remain reserved. <\/li>
        6. 6. Insofar as the requirements of section 3 are met, the risk of accidental loss or accidental deterioration of the purchased goods shall pass to the purchaser at the time when the latter is in default of acceptance or debtor.<\/li>
        7. 7. If we are prevented from fulfilling our obligation to perform by the occurrence of unforeseeable circumstances (force majeure), which we could not avert despite the reasonable care required by the circumstances of the case (e.g. operational disruption or delay in the delivery of essential raw materials and materials), the delivery period shall be extended to an appropriate extent if the delivery or performance does not become impossible. If the delivery or performance becomes impossible due to the aforementioned circumstances, we shall be released from the corresponding performance obligation. <\/li><\/ol>
